Blomfield has handled a significant number of acquisitions and disposals and we frequently generate opportunities as well as providing the expert advice, detailed industry knowledge and negotiating skills. At some point every company considers selling all or part of its business, and this can be a very difficult decision to make. It will be influenced by strategic objectives, by market forces, by price and by timing. Blomfield works with clients to maximise the value of such transactions, drawing on its extensive experience of coordinating corporate sales.

Case Studies

The acquisition of SCOTTY by Motion Media PLC

Blomfield searched, located, assisted in negotiation and provided advice to Motion Media on its reverse take-over of SCOTTY Tele-Transport Corporation AG, an Austrian developer and supplier of videoconferencing systems that enable real-time audio, video and data communication via the Inmarsat satellite network and other broadband networks.

The acquisition of Medicals Direct PLC on behalf of Hooper Holmes, Inc.

Blomfield negotiated on behalf of AMEX listed Hooper Holmes and made the successful cash and cash alternative offer for it to acquire the entire issued share capital of OFEX quoted Medicals Direct for a total consideration £8.2 million.

The acquisition of Silver Birch Marketing Limited and Go! Technology Limited by Advanced Power Components plc

Blomfield acted on behalf of Advanced Power Components plc, a specialist distributor of electronic components on the acquisition of two of its three divisions which led to an expansion of APC’s service offering. The acquisition of GO! brought in kitting and materials management service and the acquisition of SBM extended the offering of specialist electronic components addressing a commercial and industrial customer base.

Blomfield was appointed by B. Elliott Limited (a public to private MBO) to help with its disposal program. Over a number of years Blomfield assisted B.Elliott with the disposal of its subsidiaries including the sale of Halifax Rack and Screw Limited, Integrated Photomatrix Limited, MTE Limited and J.M. Clarke Limited.

The sale of Halifax Rack and Screw Limited

Blomfield advised B.Elliott on the disposal of HRS which is a manufacturer of specialist precision gear racks, pinions and power screws for the power transmission, automotive, defence and general engineering industries. Blomfield successfully completed the sale of the business to a private company.

The sale of Integrated Photomatrix Limited to Thales SA

B. Elliot appointed Blomfield to dispose of Integrated Photomatrix Limited. IPL is an advanced opto-electronics manufacturer supplying optoelectronic components, ultrasonic sensors and vision based measurement systems to the defence, telecommunication and steel industries. Blomfield sold the business to Thales SA, the global electronics company serving aerospace, defence and security & services markets worldwide.

The sale of Davin Group Limited to Computer Recognition Systems Limited on behalf of Thomson Clive and Partners

Thomson Clive and Partners was a significant investor in Davin which appointed Blomfield to locate a purchaser and advise on the sale of Davin which is a manufacturer of electro-optics sub-systems based in East London. Blomfield sold the business to Computer Recognition Systems Limited which develops camera based image processing products for the detection, classification and identification of vehicles in all weather conditions.

The sales of MTE Limited and J.M. Clarke Limited on behalf of B. Elliott Limited

Blomfield was appointed by B. Elliott to coordinate the international sale of MTE, which is a world leader in the manufacture of electronic control equipment. We sold the business to Entrelec Group SA, which is a leading French electronics manufacturer. We further sold J.M. Clarke, one of the UK's largest manufacturers of transformers and battery chargers to STL Technical Engineering Limited.

The international sale of Continental Microwave on behalf of Spectra-Physics AB

Blomfield co-advised the international sale of the Continental Microwave Group of companies on behalf of Spectra-Physics AB. The Group was sold to Silvermines Group PLC for approximately £10.5 million.
